Terms and Conditions


Before registering with napXchange™ you must read and accept the napXchange™ Terms & Conditions.

These Terms & Conditions are governed by and construed in accordance with the laws of England and the parties submit to the exclusive jurisdiction of the English Courts.

Definition of Terms

For these Terms and Conditions the following words shall have the corresponding meaning given below:

'napXchange™' means the www.napXchange.com website and the legal entity that owns the site, namely napXchange™ Ltd.

'e-mail' means electronic mail transmitted using the Internet.

'Member' means an individual registered with napXchange™

'Web Site' means the web site hosted on the Internet by napXchange™ to provide information, services and games for the members.

'Registration Information' means the information requested by napXchange™ during the registration process.

You

You are over 18 and by registering and accepting this agreement, the Member represents and warrants that he or she can lawfully bind him or her self to this agreement in the jurisdiction where Member is located. No Member may participate where doing so would be prohibited by any law or regulation having the force of law applicable to Member.

In all dealings with napXchange™. you are acting as a principal and not on behalf of another person or persons.

You agree to provide complete and correct information to us as requested during the registration process. On completion of the registration process a confirmation code will be sent to the e-mail address supplied by you, for use in activating your account. You agree to inform us of any changes to your registration details.

It is solely your responsibility to account for any personal tax imposed on any winnings.

You agree that the material displayed on the napXchange™ Web Site may only be used for your personal use, and that the distribution or commercial exploitation of the material by you is prohibited and that use of the material is at your sole risk.

When selecting usernames and/or playernames you undertake not to use words or phrases that are defamatory, offensive or liable to cause offence. napXchange™ reserve the right to suspend such users from the system.

Your registration with napXchange™ implies acceptance of these Terms and Conditions.

Us

napXchange™ gives no warranty that the supply of the material will be uninterrupted and no guarantee as to the accuracy of the material or as to the results to be obtained from the material.

napXchange™ shall not be liable for any loss or damage to your equipment as a result of downloading software and data from the Web Site and/or using such software or data.

Where competitions are ‘pool’ based we will deduct 30% from each game entry fee prior to putting the remainder in the pool. From this, napXchange will pay UK Pool Betting Tax, and all expenses for running, administering and monitoring the game.

napXchange™. is registered with Her Majesty’s Customs & Excise for the collection of Pool Betting Duty.

napXchange™ Ltd. is registered by the UK Data Protection Act 1998, registered number: PZ7265406.

Web Site and Game Operational Hours

napXchange™ will ensure where possible that the Web Site is accessible via the Internet between the hours of 7am to 10pm GMT. However, outside these hours, napXchange™ reserves the right to take the web site off-line at anytime for the purposes of software, hardware and/or network maintenance.

SMS Services

To receive the optional text message services, your mobile phone must be capable of receiving text messages and must be set to receive text messages.

The delivery of SMS messages is largely dependent on the effective functioning of the recipient's mobile phone and the relevant telephone network, systems and infrastructure. Consequently, napXchange™. cannot guarantee the delivery of messages that may be affected by possible network outages, errors and delays. napXchange™. will however make every effort to ensure that all messages are delivered in a timely manner.

Competitions & Prizes

All prizes are listed in the rules of each competition. By entering a napXchange™ competition (free or paid entry) you agree to abide by the napXchange™ rules & agree that all napXchange™ decisions are final.
All winners will be contacted by napXchange™ via email or SMS. All winners must contact napXchange™ within 21 days with their details, in order to be eligible for the prize(s). All prizes will be distributed to winners within 28 days .

Competition Entry

All competition entries that require payment can be paid for either online, using napXchange™'s secure & trusted WorldPay or PayPal services & a wide range of payment methods, previously bought napCredits, or by cheque.

If paying by cheque:

1. Make your cheque payable to napXchange Limited
2. Write your full name, address and email address on the back of the cheque
3. Send your cheque to:

In the case of multiple entries, send ONE cheque with the total amount. If the cheque fails to clear the entry will be disqualified. We will notify you when we receive your cheque, and update your napCredit balance with the relevant amount.

napCredits

You can buy 'napCredits' on napXchange.com and use them to enter competitions. Purchase as many as you wish, eg. £5 = 5 napCredits. You can view your balance any time you wish by clicking here.

Competition Winners

Winners will be notified by e-mail. Prize money will be paid by cheque.

napXchange™ Employees

Employees and directors of napXchange™ affiliates, subsidiaries, contractors & partners are not eligible to win any of the games featured on the Web Site.

Refund Policy

Refunds will be given at the discretion of the Company Management.

Intellectual Property

All copyrights, patents, trademarks, service marks, trade secrets, database rights, intellectual property and other proprietary rights pertaining to the Services and the www.napXchange.com website remain with napXchange™.

This provision shall survive termination of this Agreement.

napXchange™ will process, investigate, and respond to any notification of infringement of intellectual property and proprietary rights in accordance with applicable laws.

If any of these Terms & Conditions should be determined to be illegal, invalid or otherwise unenforceable by reason of the laws of any state or country in which these Terms & Conditions are intended to be effective, then to the extent and within the jurisdiction which that Term or Condition is illegal, invalid or unenforceable, it shall be severed and deleted from this clause and the remaining terms and conditions shall survive, remain in full force and effect and continue to be binding and enforceable.
